Role Description

The Senior Analyst, Corporate Governance will provide project management and paralegal support within Corporate Governance, assisting the Director, Corporate Governance on a variety of responsibilities related to subsidiary governance for Zoetis' global network of entities and provide support with respect to various additional operational matters within the Zoetis Legal Function.

Position Responsibilities:

  • Work with the broader Corporate Governance team to advance our subsidiary management and legal entity management and governance strategy, including preparing corporate legal documents, powers of attorneys, local filings and registrations, and coordinating across internal team members and third-party service providers.
  • Support special Legal function and subsidiary governance projects from time to time (including corporate reorganizations, integrations and entity formations and eliminations).
  • Support the tracking of international legal entity changes and maintenance of the global subsidiary entity database, including the repository of corporate documents, and on-going preparation of required compliance materials (i.e., KYC and UBO requests, director and officer lists, entity structure charts, addresses and other corporate details).
  • Contribute to project management and organization related to compliance with global sustainability obligations.

Education and Experience:
  • Associate's degree required; Bachelor's degree preferred.
  • Certificate in Paralegal Studies preferred.
  • 3-5 years of relevant experience preferred in company or law firm setting.

Technical Skills:
  • Must demonstrate a strong attention to detail with excellent organizational, communication, analytical and problem-solving skills.
  • Experience in project management and ability to prioritize multiple responsibilities and work independently.
  • Highly professional and diplomatic.
  • Ability to work professionally with senior management.
  • Strong computer skills and proficiency in Microsoft Suite applications and ability and willingness to learn other Zoetis software applications as required.

Physical Requirements:
  • Hybrid working environment, with approximately 50% of time (2-3 work days per week) required on-site in Parsippany, NJ headquarters office.
  • Work with global teams located in multiple time zones.
